VerusTrust Terms of Service
Please read these Terms of Service (the “Terms” or “Agreement”) carefully. This VerusTrust Services Agreement is a legal agreement between VerusTrust (“VerusTrust”, “us”, or “we”) and the entity or person (“Customer”, “you”, “your”, or “user”) who registered on the VerusTrust Account page to receive certain software licensing technology and other business services that may be offered by VerusTrust and its affiliates (each, a “Service”). This Agreement describes the terms and conditions that apply to your use of the Services. We provide you with a more detailed description of the Services through published software libraries and application programming interfaces that may be used to access the Services (the “API”, or “APIs”) and additional resources we make available to you on our website. The Services and their permitted use are further described in VerusTrust’s standard documentatio (“https://docs.verustrust-licensing.com/”).
Wherever used in these Terms, “you”, “your” or similar terms mean the person or legal entity accessing or using the Services. If you are accessing or using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms.
YOU AGREE THAT BY REGISTERING FOR, ACCESSING OR USING THE SERVICES, YOU ARE ENTERING INTO A LEGALLY BINDING AGREEMENT WITH VERUSTRUST. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
VerusTrust reserves the right to modify, supplement, or replace these Terms, effective upon posting the changes on the Site or notifying you otherwise. For continued use of the Services following the posting of changes to these Terms or receipt of notice, you will be required to accept and agree to such changes to continue using the Services. You are responsible for regularly consulting the current version of the Terms prior to your use of the Services.
You may not access or use any Services unless you agree to abide by all the terms and conditions in this Agreement. If you do not understand any of the terms of this Agreement, please contact us before using the Services. You can contact us at: info@verustrust.com.
1. Our Services
VerusTrust provides a range of solutions designed to assist software developers in managing the state of their software in accordance with the licensing agreements they maintain with their end users. These solutions include, but are not limited to, the following:
VerusTrust provides a comprehensive suite of licensing solutions for software developers, including the ability to issue new license keys that control various states of software, such as trial versions, full versions, or subscription-based services. The Services also allow developers to verify the status of license keys within a customer’s system, checking details such as validity, activation status, and license type. Additionally, VerusTrust enables developers to implement control mechanisms that limit the use of a single license key based on thresholds, as well as providing functionality to reset, revoke, or disable license keys as necessary. VerusTrust offers Application Programming Interfaces (APIs) to facilitate the integration of its licensing solutions into software, allowing for automated license management, status verification, and key issuance through secure, programmatic access. Furthermore, VerusTrust maintains and regularly updates comprehensive documentation detailing the use of the VerusTrust Platform, the APIs, and the integration of the Platform with third-party systems. VerusTrust do not provide any kind of payment gateway, software deployment service or release control.
2. Grant of License
Subject to the terms and conditions set forth in this Agreement, VerusTrust grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the VerusTrust Platform and the associated Services, as specified under the applicable subscription plan that you have entered through the Platform (the “Subscription Plan”).
3. Using Our Services
You must adhere to all policies made available to you in connection with the Services.
You agree not to misuse the Services. Misuse includes, but is not limited to, interfering with the proper functioning of the Services, attempting to access the Services through methods other than those provided and explicitly authorized by VerusTrust. You may only use the Services in compliance with applicable laws, including export and re-export control laws and regulations. VerusTrust reserves the right to suspend or terminate access to the Services if you fail to comply with these Terms, our policies, or if we suspect misconduct in your use of the Services.
You are strictly prohibited from using the Services to license, distribute, or transmit any malware, viruses, or any harmful or malicious programs that could damage or compromise a computer system.
Your use of the Services does not grant you ownership of any intellectual property rights in the Services or the content you access through the Services. You may not use content from the Services unless you have obtained explicit permission from the owner or are otherwise permitted by law. These Terms do not grant you any rights to use VerusTrust’s branding, logos, or other proprietary marks. You agree not to remove, obscure, or alter any legal notices displayed within or along with the Services.
You acknowledge that VerusTrust utilizes third-party vendors and infrastructure partners to provide the necessary hardware, software, networking, storage, and related technology required to deliver the Services. VerusTrust employs third-party services that adhere to stringent security and quality standards. The cloud infrastructure is entirely based on Microsoft Azure services.
4. Reservation of Rights
VerusTrust reserves all rights not expressly granted to you under this Agreement. VerusTrust expressly reserves the right to, at any time and in its sole discretion, modify, reduce, or remove any functionality of the Platform or the Services. Additionally, VerusTrust reserves the right to impose fees on any feature or aspect of the Services and/or Platform at any time upon prior notice to you.
5. Account and User Responsibilities
5.1 Account Registration
To access the Platform and use the related Services, you must create a VerusTrust Account by providing accurate, complete, and up-to-date information as prompted during the registration process. This includes, but is not limited to, your full legal name, a valid email address, company name, VAT registration number, Country and any other information requested. In certain cases, your VerusTrust Account may be assigned to you by an administrator, such as your employer. If you are using an account assigned by an administrator, additional terms may apply, and the administrator may have the ability to access or disable your account.
You must be at least 18 years of age to create an account and use our Services. By registering, you represent and warrant that you meet the applicable age requirement and that the information you provide is accurate and complete.
5.2 Account Security
You are solely responsible for maintaining the confidentiality and security of your VerusTrust Account username and password. You agree to take all reasonable steps to prevent unauthorized access to your account, including but not limited to keeping your login credentials confidential. You acknowledge and agree that VerusTrust will assume any activity conducted through your account is authorized by you, and you accept full responsibility for all such activity.
If you become aware of any unauthorized access to your account or any security breach, you agree to immediately notify VerusTrust. VerusTrust cannot and will not be liable for any loss or damage resulting from your failure to protect your account credentials or to comply with your security obligations.
5.3 Multiple Logins
If your Subscription Plan allows, you may create multiple logins for different users within your organization. You agree to be fully responsible for ensuring that all authorized users comply with these Terms of Service. You are also responsible for all activities that occur under the accounts of these authorized users. Furthermore, you agree to control access to the Platform, ensure the confidentiality of usernames and passwords, and prevent unauthorized access by users who are not authorized under your plan.
5.4 License Key
As part of the Services, VerusTrust will assign a license key to your account for the purpose of storing and managing data associated with the Services. You are solely responsible for safeguarding and managing this license key. In the event that the license key is revoked, the Services associated with your account will cease to function. You agree that the security and confidentiality of the license key are your sole responsibility, and the provisions of Section [Account Security] will apply to the license key as well.
6. Subscription, Fees, Billing, Refund and Cancellation
6.1 Subscription
In order to access and use the Platform and its related Services, you must subscribe to a Subscription Plan. VerusTrust offers various Subscription Plans, including both free and paid options, each differing in terms of features, the number of Services accessible, and pricing. The specific details of each Subscription Plan, including available features, pricing, and terms, are made available through the Platform. For users selecting the free package, no fees are required, but the available features and Services will be limited to those associated with the free plan.
6.2 Fees
By subscribing to a paid Subscription Plan, you agree to pay all applicable fees associated with that plan, as outlined in the specific terms of the plan. You are solely responsible for the payment of all such taxes, levies, or duties, excluding taxes for which VerusTrust is liable.
6.3 Recurring Billing
The Service is billed in advance on either a monthly or yearly basis, depending on the selected Subscription Plan. You agree to provide valid, up-to-date, and accurate debit/credit card information, as well as current billing and contact details. You authorize VerusTrust to charge your provided debit/credit card for the applicable fees on the corresponding effective date, including any renewals, for the Subscription Plan. In the case of an upgrade or downgrade to a different plan, the credit card you provided will automatically be charged the new rate at the next billing cycle.
6.4 No Refunds
The Service is non-refundable. There will be no refunds or credits for partial months of service, unused months, or any upgrades/downgrades to different plans. Once payment is made, it is non-refundable, and no exceptions will be made. All payments, regardless of the plan or usage, are final.
6.5 Cancellation
You may cancel your Subscription Plan at any time. If you cancel before the end of the then-current paid period, you will not be entitled to a refund but may continue to access the Platform and Services until the end of the current billing cycle. Cancellation of the free package can be done at any time, and you will lose access to the Services once your account is closed.
6.6 Price Changes
VerusTrust reserves the right to modify the fees for any Subscription Plan at its discretion. You will be notified of any price changes at least thirty (30) days prior to the expiration of your current Subscription Plan period. If you do not accept the revised fees, you may cancel your Subscription Plan within the notice period. If you do not cancel your Subscription Plan within the provided timeframe, the new fees will apply to the subsequent billing cycle.
7. Termination of Service
7.1 Termination by Customer. You may delete your Account at any time via the account‑settings page. Termination is effective immediately for free plans or at the end of the paid period for paid plans. When you delete your account, your access will be revoked and VerusTrust will delete your data within ninety (90) days.
7.2 Termination by VerusTrust for Convenience. VerusTrust may suspend or terminate the Services or this Agreement for any reason with thirty (30) days’ written notice.
7.3 Termination for Breach. Either party may terminate immediately upon written notice if the other party (a) materially breaches this Agreement and fails to cure within ten (10) days of notice, or (b) becomes insolvent or subject to bankruptcy proceedings.
7.4 Effect of Termination. Upon termination (a) all licenses cease; (b) you must stop using the Services, APIs, and materials; and (c) VerusTrust will revoke access to the Platform.
7.5 Data Deletion. Except where a longer retention period is required by law, VerusTrust will permanently delete or anonymize Customer data within ninety (90) days after account deletion or termination.
8. Limitation of Liability & Disclaimer of Warranties
8.1 As‑Is. THE SERVICES, APIS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT.
8.2 No Guarantee. VerusTrust does not warrant that the Services will be uninterrupted, error‑free, secure, or free from harmful components.
8.3 Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUSTRUST AND ITS LICENSORS WILL NOT BE LIABLE FOR (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; (b) LOSS OF REVENUE, PROFITS, GOODWILL, DATA, OR USE; OR (c) AGGREGATE LIABILITY EXCEEDING THE GREATER OF (i) AMOUNTS PAID BY YOU DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED EUROS (€100).
9. Intellectual Property
9.1 Ownership. VerusTrust and its licensors retain all rights, title, and interest in the Platform, Services, APIs, documentation, and all related intellectual property.
9.2 License Grant. No rights are granted except as expressly stated in Section 2. All other rights are reserved.
10. Data Privacy
10.1 Privacy Policy. Your use of the Services is subject to the VerusTrust Privacy Policy, available at [LINK TO PRIVACY POLICY], which is incorporated by reference.
10.2 Data Processing. VerusTrust processes personal data (e.g., account identifiers, usage metrics, diagnostic logs) solely to provide, secure, and improve the Services or as otherwise described in the Privacy Policy.
10.3 GDPR Rights. Where the EU General Data Protection Regulation (GDPR) applies, individuals have rights to access, rectify, erase, restrict, export, or object to processing of their personal data. Requests may be sent to privacy@verustrust.com.
11. Governing Law & Dispute Resolution
11.1 Governing Law. This Agreement is governed by the laws of Greece, without regard to conflict‑of‑law rules.
11.2 Informal Resolution. Before initiating formal proceedings, the parties must attempt to resolve disputes informally by written notice and good‑faith negotiation for at least thirty (30) days.
11.3 Arbitration. Unresolved disputes will be finally settled by binding arbitration under the Rules of Arbitration of the International Chamber of Commerce. The seat of arbitration is Athens, Greece, and the language is English. Either party may seek injunctive relief in a court of competent jurisdiction.
12. Modifications to Terms
VerusTrust may amend these Terms from time to time. Material changes become effective thirty (30) days after (a) posting on the VerusTrust website or (b) sending notice to the email associated with your Account. Continued use after the effective date constitutes acceptance. If you disagree, you must stop using the Services before the changes take effect.
